Terms

Plain terms. One page.

What you buy, what you pay, what you own, and what happens if it goes wrong. Written to be read before signing, not after.

1. What we sell

Two things, each priced on the pricing page: the Budget Stress Test, a fixed-fee engagement of ten working days, and the Studio, a subscription per company. A quote names which of the three you are buying, the price in US dollars and the start date. The quote plus these terms is the whole agreement.

2. The Budget Stress Test

The fee is fixed and agreed before day one. It is invoiced 50% at intake and 50% on delivery of the board one-pager, payable within 14 days. The guarantee: if the driver model we build does not reconcile to your budget to the dollar, you do not pay, and the intake invoice is credited. Our work depends on you sending the budget file at intake and making the assumption owners available for one ninety-minute workshop; delays on your side extend the ten days by the same amount.

3. Subscriptions

The Studio runs for twelve months from the start date and renews for twelve months unless either side cancels in writing before the renewal date. Subscriptions are invoiced monthly in advance, payable within 14 days. Prices change only at renewal, with 30 days' notice.

4. What you own, what we own

Your workbook, every version of it, the ranges your team sets and every report the Studio produces are yours. The Excel template keeps working after you cancel. The simulation engine, the Studio, the template structure and the articles are ours; you may use them for your own company's planning and not resell or redistribute them.

5. Confidentiality

Everything you send us is confidential: the budget, the business case, the ranges, the results. We use it only to deliver the work, and only the person running your engagement opens it. We do not name you as a customer without written permission. The security page says where the data goes and the data processing agreement sets out the GDPR terms.

6. What the numbers are

The Studio counts scenarios through your own logic and ranges. The odds, the median and the downside are the output of that model, not a forecast of what will happen and not advice on investments, financing or hedging. Decisions remain yours.

7. Liability

Our total liability under this agreement, for whatever cause, is capped at the fees you paid us in the twelve months before the claim. Neither side is liable for indirect loss, lost profit or lost data, except where the law does not allow that limit. Nothing here limits liability for intent or gross negligence.

8. Ending it

Either side can end the agreement in writing if the other side breaks it and does not fix the breach within 30 days of being told. When the agreement ends we delete your versions and run history within five business days of your request and confirm by email; you keep the Excel files and reports you downloaded.

9. Law

Dutch law applies. Disputes go to the competent court in Amsterdam, after both sides have tried to settle them in a conversation first.
